Welcome to FC Network.

These Terms & Conditions (“Terms”) govern your access to and use of the FC Network website, platform, applications, membership services, accommodation services, events, and other services provided by FC Network (collectively, the “Services”).

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree with these Terms, you should not use the Services.

In these Terms, “FC Network”, “we”, “us”, and “our” refer to 1504637 B.C. LTD operating the FC Network platform and Services.

2. Eligibility

You must provide accurate and complete information when creating an account, making a booking, registering for an event, or using our Services.

By using the Services, you confirm that:

  • You have the legal capacity to enter into an agreement;

  • The information you provide is accurate and up to date;

  • You will use the Services in accordance with these Terms and applicable laws; and

  • You will not use the Services for unlawful, fraudulent, abusive, or unauthorized purposes.

3. FC Network Membership

FC Network may provide access to a community and network of entrepreneurs, founders, professionals, investors, technology companies, and other participants.

Membership may provide access to certain features, activities, events, benefits, or community services.

FC Network reserves the right to determine the features and benefits available to different membership types.

Unless expressly stated otherwise, membership does not guarantee:

  • Employment;

  • Investment;

  • Funding;

  • Business partnerships;

  • Revenue;

  • Customers;

  • Accommodation availability;

  • Event admission; or

  • Any specific business outcome.

4. Account Registration

Certain Services may require you to create an account.

You are responsible for:

  • Providing accurate information;

  • Keeping your account information updated;

  • Maintaining the confidentiality of your login credentials; and

  • All activity conducted through your account.

You must notify FC Network promptly if you believe your account has been accessed without authorization.

FC Network may suspend or restrict an account where reasonably necessary to protect the platform, its users, or its Services.

5. Accommodation Services

FC Network may provide access to accommodation or hotel reservation services through participating accommodation partners.

Unless otherwise stated, FC Network acts as a booking and service facilitator and does not itself own or operate the accommodation property.

Accommodation bookings are subject to:

  • Availability;

  • The applicable accommodation provider's rules;

  • Check-in and check-out requirements;

  • Booking conditions;

  • Cancellation policies; and

  • Any applicable taxes, fees, deposits, or charges.

The specific terms applicable to an accommodation booking will be communicated during the booking process or in the relevant booking confirmation.

6. Accommodation Partner

Where accommodation is provided by a third-party hotel or accommodation provider, the accommodation provider is responsible for delivering the accommodation and related on-site services.

FC Network will use reasonable efforts to facilitate the booking and assist with customer support.

However, FC Network does not control the day-to-day operations, facilities, staff, safety standards, or service quality of third-party accommodation providers.

7. Booking Confirmation

A booking is not confirmed until FC Network or the relevant accommodation provider has confirmed the reservation.

FC Network may require payment or other information before a reservation can be confirmed.

Users are responsible for reviewing all booking details before completing a reservation, including:

  • Guest information;

  • Dates;

  • Number of guests;

  • Accommodation type;

  • Check-in and check-out times;

  • Price;

  • Taxes and fees; and

  • Cancellation conditions.

8. Payments

Payments may be processed through third-party payment service providers.

You agree to provide accurate and valid payment information and authorize the applicable charges associated with your purchase or booking.

Prices may be displayed in the currency specified during the booking or purchase process.

Depending on the transaction, additional taxes, fees, deposits, or charges may apply.

9. Cancellation and Refunds

Cancellation and refund rights depend on the specific Service purchased or booking made.

Where a booking or Service has specific cancellation or refund conditions, those conditions will apply.

Unless otherwise stated, FC Network is not required to provide a refund for:

  • No-shows;

  • Late cancellations;

  • Failure to use a booked Service;

  • Services already provided; or

  • Non-refundable bookings.

Any applicable refund will generally be processed using the original payment method, subject to the applicable payment provider's processing procedures.

10. Events

FC Network may organize or facilitate events, networking sessions, conferences, workshops, meetings, and other activities.

Event registration may be subject to availability and additional event-specific terms.

FC Network reserves the right to:

  • Change the event date or time;

  • Change the location;

  • Modify the event program;

  • Replace speakers or participants; or

  • Cancel an event where reasonably necessary.

Where an event is cancelled by FC Network, any refund will be handled according to the applicable event terms.

11. User Conduct

Users must use the Services responsibly and respectfully.

You must not:

  • Violate any applicable law;

  • Use the platform for fraudulent purposes;

  • Misrepresent your identity or business;

  • Harass, threaten, or abuse another user;

  • Distribute malicious software;

  • Attempt unauthorized access to the platform;

  • Interfere with the operation or security of the Services;

  • Collect personal information from other users without authorization;

  • Upload unlawful or infringing content;

  • Use the platform to distribute spam or unsolicited commercial communications; or

  • Engage in conduct that may reasonably harm FC Network, its users, partners, or reputation.

12. Community Content

Users may have the ability to submit or publish content, including profiles, photographs, comments, business information, event information, or other materials (“User Content”).

You remain responsible for your User Content.

By submitting User Content, you confirm that:

  • You have the necessary rights to provide the content;

  • The content does not violate applicable laws;

  • The content does not infringe another person's intellectual property or privacy rights; and

  • The content is not fraudulent, misleading, abusive, or unlawful.

You grant FC Network a non-exclusive, worldwide, royalty-free license to host, display, reproduce, and distribute User Content as reasonably necessary to operate and promote the Services, subject to applicable law.

13. Intellectual Property

The FC Network name, trademarks, logos, website, platform, software, design, content, graphics, text, and other materials provided by FC Network are owned by or licensed to FC Network and are protected by applicable intellectual property laws.

You may not copy, reproduce, modify, distribute, sell, reverse engineer, or commercially exploit FC Network's intellectual property without prior written authorization.

14. Third-Party Services

The Services may integrate with or contain links to third-party services, including payment providers, accommodation providers, technology platforms, event partners, and other external services.

Third-party services may have their own terms and privacy policies.

FC Network is not responsible for the independent acts, omissions, policies, or practices of third-party service providers.

15. Business and Investment Disclaimer

FC Network is a networking and community platform.

Information, introductions, networking opportunities, events, and business-related content provided through FC Network do not constitute financial, investment, legal, tax, accounting, or professional advice.

FC Network does not guarantee:

  • Investment returns;

  • Funding;

  • Business success;

  • Commercial opportunities;

  • Partnerships;

  • Customers;

  • Revenue; or

  • Any particular business result.

Users are responsible for conducting their own due diligence before entering into any business, investment, partnership, or commercial relationship with another user or third party.

16. Availability of Services

We aim to keep the Services available and operational, but we do not guarantee that the Services will always be:

  • Available;

  • Uninterrupted;

  • Error-free;

  • Secure; or

  • Free from technical issues.

We may temporarily suspend or modify Services for maintenance, security, upgrades, technical issues, or other operational reasons.

17. Limitation of Liability

To the maximum extent permitted by applicable law, FC Network and 1504637 B.C. LTD shall not be liable for indirect, incidental, consequential, special, or punitive damages arising from or related to your use of the Services.

This includes, where legally permitted, loss of:

  • Profits;

  • Revenue;

  • Business opportunities;

  • Data;

  • Goodwill; or

  • Anticipated savings.

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited under applicable law.

18. Indemnification

To the extent permitted by applicable law, you agree to indemnify and hold harmless FC Network, 1504637 B.C. LTD, and their respective officers, directors, employees, contractors, and representatives from claims, losses, liabilities, damages, costs, and expenses arising from:

  • Your breach of these Terms;

  • Your misuse of the Services;

  • Your violation of applicable law;

  • Your User Content; or

  • Your violation of the rights of another person or entity.

19. Suspension and Termination

FC Network may suspend or terminate your access to the Services where reasonably necessary, including where you:

  • Materially breach these Terms;

  • Engage in fraudulent or unlawful activity;

  • Abuse or threaten other users;

  • Attempt to compromise the security of the platform; or

  • Otherwise misuse the Services.

Where appropriate and reasonably possible, FC Network may provide notice before suspension or termination.

Termination does not affect rights or obligations that accrued before termination.

20. Force Majeure

FC Network shall not be liable for failure or delay in performing its obligations where such failure or delay results from circumstances beyond its reasonable control, including natural disasters, war, government restrictions, pandemics, transportation disruptions, telecommunications failures, cyber incidents, labor disputes, or other events of force majeure.

FC Network will use reasonable efforts to resume affected Services when reasonably practicable.

21. Privacy

Your use of the Services is also subject to our Privacy Policy, which explains how we collect, use, disclose, and protect personal information.

22. Changes to These Terms

FC Network may update these Terms from time to time to reflect changes to our Services, business practices, technology, or applicable legal requirements.

Updated Terms will be posted on the FC Network website with a revised “Last Updated” date.

Your continued use of the Services after the updated Terms become effective constitutes acceptance of the revised Terms, to the extent permitted by applicable law.

23. Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of the Province of British Columbia and the applicable laws of Canada, without regard to conflict-of-law principles.

Any dispute arising from or relating to these Terms shall first be addressed through good-faith negotiations.

If the dispute cannot be resolved through negotiation, the parties may pursue the legal remedies available under applicable law and in the courts having appropriate jurisdiction.

24. Severability

If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, that provision shall be modified or severed to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.

25. Entire Agreement

These Terms, together with any applicable booking terms, policies, and other agreements expressly incorporated by reference, constitute the agreement between you and FC Network regarding your use of the Services.
